What Counts as a Business Day
A business day is any weekday. Monday through Friday. that is not a public holiday. Saturdays and Sundays are always excluded. Which holidays are excluded depends on jurisdiction: a US federal contractor counts 11 federal holidays, while a state employee may observe additional state holidays. International businesses must account for the fact that holidays differ by country, and some regions observe holidays that fall on weekends on the following Monday (a "substitute holiday").
The US has 11 federal public holidays established by law: New Year's Day, Martin Luther King Jr. Day, Presidents' Day, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving, and Christmas. When a holiday falls on Saturday, it is observed on Friday; when it falls on Sunday, it is observed on Monday.
Worked Example: Contract Deadline
A vendor contract says delivery is due "30 business days from the order date." Order placed: Monday, June 2, 2026. Counting 30 business days forward, skipping weekends and the Juneteenth federal holiday (June 19), the 30th business day falls on July 14, 2026. Counting all calendar days would give June 2 + 30 = July 2. nearly two weeks earlier, which would be a breach.
This is exactly why commercial contracts specify business days rather than calendar days for deadlines involving reviews, approvals, and delivery windows.
When Business Days Matter Most
Payment processing: ACH bank transfers in the US typically settle in 1–3 business days. A transfer initiated Friday afternoon may not clear until Wednesday if a Monday holiday intervenes. Wire transfers cut-off times also reset at the start of each business day.
Legal and regulatory filings often carry hard business-day deadlines. Court response periods, SEC filing windows, and OSHA incident reporting are all measured in business days. Missing a deadline by one calendar day on a Friday can mean the actual deadline was Wednesday. understanding the distinction protects against missed filings.
Shipping and logistics quote transit time in business days. "5–7 business days" ordered on a Thursday with a Monday holiday means delivery on the following Thursday or Friday. not the next Tuesday.
